Commissioner, TC Memo 2021-122, where the Tax Court upheld a partnership debt financed distribution against IRS challenge based on the taxpayer’s stringent adherence of the substance of its transaction to its form.

Topics include current issues and recent developments in federal income taxation of partnerships and partners. Particular attention will be paid to recent tax basis reporting changes including new Form 1065 and Schedule K-1 tax capital account reporting, and other Partner Basis issues. The IRS released Form 15254 to request revocation of a 754 election. The new Form provides guidance on situations that may warrant the granting of IRS permission to revoke the election.
